Mars Capital was established in 2015 and is a Regulated Credit Servicing Firm, authorised by the Central Bank of Ireland and located in Dublin 2. Mars Capital has the capacity and regulatory authority to service loans secured against properties and has €8bn AUM, experiencing significant growth in recent years. We provide services that span the full lifecycle of a loan post origination, from drawdown through to loan administration, asset management, enforcement as well as syndication, securitisation, and standby servicing.

Job Description
About the Role
Due to sustained growth and the increasing complexity of our governance landscape we are creating a new Company Secretary role. While the Head of Legal currently holds ultimate accountability for company secretarial responsibilities, this new position will be empowered to lead, manage and drive the function.
This is a strategic opportunity for an experienced governance professional to join us at a pivotal stage in our Jouet. A new Corporate Governance Framework has been designed, and this role will be instrumental in operationalising it, embedding best practices and ensuring compliance across the organization.
Key Responsibilities
- Lead the administration of Board and Committee meetings including agenda setting, paper distribution and minute taking.
- Support on providing guidance to the Board and senior leadership on corporate governance and regulatory compliance.
- Ensure compliance with statutory and regulatory obligations (e.g., Companies Act, Central Bank regulations).
- Maintain statutory registers and governance records including conflicts of interest and member registers.
- Coordinate AGMs, board evaluations and director onboarding.
- Oversee timely filing of statutory returns and other regulatory submissions.
- Drive the implementation of the new Corporate Governance Framework.
- Liaise with internal and external stakeholders, including regulators, auditors and legal counsel.
- Monitor legislative changes and ensure governance practices remain current and effective.
- Support governance for subsidiaries and cross-jurisdictional entities where applicable.
Qualifications
Required Qualifications and Experience
- Qualified Company Secretary (ICSA/CGI or equivalent).
- Minimum of 10- 12 years of relevant experience, ideally within the finance services or regulated environment
- Strong understanding of corporate law, governance codes and regulatory frameworks.
- Proven experience working with Boards and senior executives.
- Experience managing governance across multiple entities or jurisdictions is advantageous.
- Strong communication, drafting, and stakeholder management skills.
